Terms of Service

Effective date: 20 October 2026 · Version 2.0
Plain English Summary

EDEA is a software tool — not a financial adviser, broker, or asset manager. It executes trades on your own exchange account using API keys you provide. You bear all trading risk. Your funds never leave your exchange. By using EDEA you accept these Terms in full.

1. Operator and Service Description

EDEA ("the Software", "the Service", "we", "us") is an automated algorithmic trading software platform developed and operated by an independent software developer (autónomo) based in Málaga, Spain. The Service provides subscribers with access to a cloud-based software tool that connects to third-party cryptocurrency exchanges via API and executes buy and sell orders on the subscriber's own exchange account.

EDEA is not a financial institution, investment firm, broker-dealer, portfolio manager, asset manager, financial adviser, or any form of regulated financial intermediary. The Service does not constitute investment advice, portfolio management, collective investment, or any regulated financial service under Spanish law (Ley del Mercado de Valores), EU MiCA Regulation (EU) 2023/1114, MiFID II, or any other applicable regulation in any jurisdiction.

EDEA does not manage your funds, hold your funds, or exercise discretionary control over your assets at any time.

2. Eligibility and Account Registration

You must be at least 18 years of age to use EDEA. By creating an account you represent, warrant, and confirm that:

We reserve the right to refuse access to any person or jurisdiction at our sole discretion.

3. Nature of the Service — Software Tool Only

EDEA operates exclusively as an automated software execution tool. By using EDEA you expressly acknowledge and agree that:

4. Subscriptions and Payments

EDEA is offered on a subscription basis. Current plans and their principal features are:

PlanPriceKey Features

Standard€19.99/month5 positions, €2,000 max budget, 9 strategies, Packs, Signal tools

Features, limits, and prices shown are indicative. Current plan details are as displayed on the pricing page. EDEA reserves the right to modify plan features with 30 days' notice.

Tax Report — Enterprise Exclusive

The Tax Report feature calculates realised gains and losses using FIFO accounting and exports them in CSV format. The Tax Report is generated purely from raw API exchange data using automated FIFO calculations. It does not constitute formal tax, legal, or accounting advice of any kind and should not be relied upon as such. The report may not capture all taxable events (including airdrops, forks, staking rewards, or non-EDEA transactions), may not reflect the tax rules applicable in your jurisdiction, and may contain errors arising from exchange API data quality.

You remain solely responsible for: (i) verifying the accuracy and completeness of all reported trades; (ii) understanding your applicable local tax obligations; and (iii) making accurate and timely tax declarations to the relevant tax authority. EDEA accepts no liability for any tax penalties, assessments, interest, or losses arising from use of or reliance on the Tax Report. Consult a qualified tax adviser in your jurisdiction.

The following billing terms apply:

EU Right of Withdrawal — Statutory Waiver

Under EU Consumer Law (Directive 2011/83/EU) and Spanish law (Real Decreto Legislativo 1/2007, Ley General para la Defensa de los Consumidores y Usuarios), consumers generally have a 14-day statutory right of withdrawal from distance contracts. However, this right lapses for digital content and SaaS services once performance has begun, where the consumer has given explicit prior consent.

By subscribing to EDEA and accessing the digital Service, you expressly request immediate commencement of the Service and explicitly acknowledge that you waive your statutory 14-day EU right of withdrawal once the digital Service has begun. If you cancel within 14 days before any digital access has been provided, a full refund will be issued. Once access to the platform has been activated, the right of withdrawal no longer applies.

All payments are processed by Stripe, Inc. EDEA does not store or process payment card data. Stripe's terms and privacy policy apply to all payment transactions.

5. API Keys, Exchange Access, and User Responsibility

To use the trading features of EDEA you must provide API credentials from a supported cryptocurrency exchange. You bear sole and exclusive responsibility for:

EDEA stores your API credentials using AES-256 encryption. We will never use your API keys for any purpose other than executing trades on your behalf pursuant to your configured strategy settings. We will never enable or exercise withdrawal permissions.

6. Disclaimer of Warranties

AS IS Disclaimer — Please Read Carefully

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, EDEA expressly disclaims all warranties, including but not limited to:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
  • Any warranty that the Service will be uninterrupted, error-free, secure, or free from bugs, viruses, or malicious code
  • Any warranty that the Service will meet your requirements or expectations
  • Any warranty regarding the accuracy, reliability, completeness, or timeliness of any data, signal, analysis, or output provided by the Service
  • Any warranty regarding the performance or profitability of any trading strategy
  • Any warranty that orders will be executed at the prices displayed or anticipated

EDEA makes no representation, warranty, or guarantee of any financial result, profit, return, or specific trading outcome whatsoever. Past performance of any algorithm is not indicative of future results. You assume the entire risk as to the quality, performance, and results of the Service.

Market Risk, Volatility and Execution Slippage

You expressly acknowledge that cryptocurrency markets are highly volatile and subject to rapid price movements, exchange API rate limits, order book illiquidity, latency, and execution delays. EDEA is not responsible for any variance between the price at the time a signal is generated and the price at which the corresponding order is executed on the exchange. Such variances (slippage) are an inherent characteristic of live market trading and are outside EDEA's control. Orders may execute at materially different prices from those anticipated, may be partially filled, or may be rejected by the exchange entirely.

7. No Financial Advice

Nothing in the Service, its documentation, the EDEA Academy, strategy descriptions, signal outputs, blog content, marketing materials, email communications, or any other communication from EDEA constitutes:

All strategy descriptions are provided for educational and informational purposes. All trading decisions and their consequences are entirely your own.

8. Acceptable Use

You agree not to:

Breach of this section may result in immediate termination of your account and may expose you to legal liability.

9. Third-Party Services and Dependencies

EDEA is dependent on third-party services including cryptocurrency exchanges (including Kraken), Stripe (payments), Google Cloud Platform (infrastructure), Google Gemini AI (AI Agent feature), and email delivery providers. EDEA expressly disclaims all liability for:

EDEA makes no warranty or representation regarding the availability, reliability, or performance of any third-party service.

10. Limitation of Liability

Limitation of Liability — Please Read Carefully

IN NO EVENT SHALL EDEA, ITS OPERATOR, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • Trading losses of any amount arising from use or misuse of the Service, regardless of cause
  • Indirect, incidental, special, consequential, exemplary, or punitive damages of any kind
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Losses arising from software bugs, errors, incorrect signal generation, or algorithmic failures
  • Losses arising from exchange downtime, API failures, connectivity interruptions, or cyber attacks
  • Losses arising from your incorrect configuration of any strategy, parameter, or risk setting
  • Losses arising from AI or algorithmic outputs, whether from EDEA's own engine or third-party AI models
  • Losses arising from Force Majeure events (see Section 11)
  • Losses arising from regulatory action, exchange policy changes, or changes in applicable law
  • Losses arising from the acts or omissions of any third-party exchange, payment processor, cloud provider, or other service provider
  • Any loss or damage arising from your failure to maintain adequate account security

These exclusions apply regardless of the form of the claim (contract, tort, negligence, strict liability, or otherwise) and even if EDEA has been advised of the possibility of such damages.

Aggregate liability cap: To the extent any liability of EDEA is found to exist notwithstanding the above, EDEA's total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the lesser of: (a) the total amount paid by you to EDEA in the 3 calendar months immediately preceding the date of the claim; or (b) €150. This cap applies to all claims in aggregate, not per incident.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under mandatory applicable law (including death or personal injury caused by negligence, or fraud).

11. Force Majeure

EDEA shall not be liable for any failure or delay in the performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to:

In the event of a Force Majeure event, EDEA will notify users as soon as practicable and use reasonable efforts to resume normal operations. Subscriptions may be suspended during extended Force Majeure events at EDEA's discretion.

12. Indemnification

You agree to defend, indemnify, and hold harmless EDEA, its operator, and its agents from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising from or relating to:

13. Intellectual Property

All intellectual property rights in the Service — including but not limited to the software code, algorithms, trading strategies, signal logic, data models, documentation, and the EDEA name and branding — are owned by EDEA or its licensor and are protected by copyright, trade secret, and other applicable laws. You receive only a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal trading purposes during your subscription.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any part of the Service without prior written consent.

14. No Waiver of Class Actions and Collective Redress

To the extent permitted by applicable law, you agree that any dispute with EDEA will be pursued solely on an individual basis and not as part of a class action, collective action, or representative proceeding. You waive your right to participate in any class or collective proceeding against EDEA. This Section does not apply where mandatory consumer protection law in your jurisdiction prohibits such a waiver.

15. Acceptable Monitoring and AI Agent Disclaimer

The AI Agent feature (Enterprise plan) uses the Google Gemini AI model to autonomously select pairs, timing, and position sizing. You expressly acknowledge that:

16. Termination

We reserve the right to suspend or terminate your account immediately and without notice if you: breach any provision of these Terms; engage in fraudulent, abusive, or illegal activity; use the Service in a manner that causes or risks legal or reputational harm to EDEA; or fail to pay applicable subscription fees.

Upon termination for cause, no refund of any prepaid fees will be made. You may terminate your account at any time by cancelling your subscription. We will process data deletion requests in accordance with our Privacy Policy.

Sections 6, 7, 10, 11, 12, 13, 14, and 17 survive termination of these Terms.

17. Governing Law and Dispute Resolution

These Terms and any dispute arising from or related to the Service shall be governed by and construed in accordance with the laws of Spain, without regard to conflict of law principles.

Any dispute, controversy, or claim arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Málaga, Spain. You irrevocably consent to the personal jurisdiction of such courts.

Notwithstanding the above: (i) where you are a consumer resident in another EU member state, mandatory consumer protection laws of your country of residence may apply; (ii) nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from any competent court.

Before initiating any formal dispute, you agree to first contact EDEA at legal@edea-bot.com and attempt in good faith to resolve the matter informally for a period of 30 days.

18. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity of the remaining provisions.

19. Entire Agreement

These Terms, together with the Privacy Policy, Risk Disclaimer, Cookie Policy, and any applicable Complaints Procedure, constitute the entire agreement between you and EDEA with respect to the Service and supersede all prior agreements, representations, and understandings. No oral statement, prior agreement, or course of dealing shall modify these Terms.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. The updated Terms will be posted at edea-bot.com/legal with a new effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must cancel your subscription before the effective date.
